Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On June 27, 2024, Jack Bech Nielsen notified the Board of Directors (the “Board”) of Harmony Biosciences Holdings, Inc. (the “Company”) that he is resigning from the Board effective immediately, due to health reasons. Mr. Nielsen’s decision was not due to any disagreement with the Company or the Board on any matter relating to the operations, policies or practices of the Company. The Company thanks Mr. Nielsen for his commitment and service to the Company and wishes him all the best.
Item 8.01 Other Events.
On July 1, 2024, the Company announced the change of the name of its wholly owned subsidiary from “Zynerba Pharmaceuticals, Inc.” to “Harmony Biosciences Management, Inc.” As of July 1, 2024, Zynerba Pharmaceuticals, Inc. is now known as Harmony Biosciences Management, Inc.
